Intellectual property

All content published and made available on our Site is the property of Chi Technologies Inc. and the Site’s creators. This includes, but is not limited to images, text, logos, documents, downloadable files, and anything that contributes to the composition of our Site, or affiliations.

Age restrictions

The minimum age to use our Site is 13 years old. By using this Site, users agree that they are over 13 years old. We do not assume any legal responsibility for false statements about age.

Acceptable use

As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes in the following manners:

• Harass, or mistreat other users of our Site;
• Violate the rights of other users of our Site;
• Violate the intellectual property rights of the Site owners, or any third party to the Site;
• Hack into the account of another user of the Site;
• Act in a manner that could be considered fraudulent; or
• Post any material that may be deemed inappropriate, or offensive.
• Or any other actions, or inactions, that are generally considered to be offensive under general interpretation of laws, or financial space.

If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend, withhold, or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

Non-solicitation

You agree and understand that all transactions you submit through the Site are considered unsolicited, which means that they are solely initiated by you. You alone are responsible for determining whether any transaction is appropriate for you based on your personal objectives, nature of use, and or financial circumstances.

Non-custodial and no fiduciary duties

The Site is a purely non-custodial application, meaning we do not have custody, possession, or control of your digital assets at any time. It further means you are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold and you should never share your wallet credentials, information, or seed phrase with anyone. We accept no responsibility for, or liability to you, in connection with your use of a wallet and make no representations, or warranties regarding how the Interface will operate with any specific wallet. Likewise, you are solely responsible for any associated wallet. Chi Technologies Inc is not liable for any acts or omissions by you in connection with or as a result of your wallet being compromised.

These Terms and Conditions are not intended to, and do not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations that we owe you are those set out expressly in these terms and conditions.

Compliance and tax obligations

The Unispend Site may not be available or appropriate for use in your jurisdiction. By accessing or using the Interface, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you. Specifically, your use of the Site may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions.

It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

Assumption of risk

By accessing and using this Site, you represent that you are financially and technically literate enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of digital assets such as ether (ETH), so-called stablecoins, and other digital tokens such as those following the Ethereum Token Standard (ERC-20).

In particular, you understand that the markets for these digital assets are nascent and highly volatile due to risk factors including but not limited to adoption, speculation, technology, security, and regulations. Stablecoins may not be as stable as they purport to be, may not be fully, or adequately collateralized, and may be subject to panics and runs. Further, you understand that smart contract transactions automatically execute and settle, and that blockchain-based transactions are irreversible when confirmed. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems such as Ethereum are variable and may increase dramatically at any time.  Finally, you understand that we do not create, or own, any cross-chain coins but merely provide a platform to ease the use of cross-chain transactions, or payments.

In summary, you acknowledge that we are not responsible for any of these variables or risks and cannot be held liable for any resulting losses that you experience while accessing, or using our Site. Accordingly, you understand and agree to assume full responsibility for all of the risks of accessing and using the Unispend site, powered by Chi Technologies Inc.

Third-party goods and services

This Unispend Site may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on our Site.

Gas Fees

Blockchain transactions require the payment of transaction fees to the appropriate network (“Gas Fees”). Except as otherwise expressly set forth in the terms of an offer by Unispend, powered by Chi Technologies Inc., you will be solely responsible to pay the Gas Fees for any transaction, or chain of transactions duly initiated by you.

Refunds or return policy

As a general rule, services provided, or goods sold on this site are non-refundable, except such transactions fall under the following categories;

• Failed transactions.
• Undelivered purchase.
• Defective product, and defects reported within 48hrs of receipt of such good(s), or service(s).
• Any other case deemed special, or an act of God, where Unispend after due investigation considers a refund, or return, the best option, or remedy to the user.

Consumer protection law

Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Limitation of liability

Chi Technologies Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities, and expenses including legal fees from your use of the Site, especially when such user exposes, or compromises any appropriate measures to be taken in interacting with the Unispend site.

Indemnity

Except where prohibited by law, by using this Site you indemnify and hold harmless Chi Technologies Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses including legal fees, arising out of your use of our Site or your violation of these Terms and Conditions.

Applicable law

These Terms and Conditions are governed by the laws of the Province of Ontario, Canada.

Dispute resolution

Subject to any exceptions specified in these Terms and Conditions, if you and Chi Technologies Inc. are unable to resolve any dispute through informal discussion, then you and Chi Technologies Inc. agree to submit the issue before a mediator. The decision of the mediator will not be binding. Any mediator must be a neutral party acceptable to both you and Chi Technologies Inc. The costs of any mediation will be paid by the unsuccessful party.

Notwithstanding any other provision in these Terms and Conditions, you and Chi Technologies Inc. agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief, pecuniary relief, or intellectual property infringement.

Severability

If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes

These Terms and Conditions may be amended from time to time, in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave in the use of our Site. We will notify users by email of changes to these Terms and Conditions, or post a notice on our Site.
